These Terms of Service (“Terms”) are a contract between you and apiegg (“we”, “us”, “our”) covering your use of the apiegg website, API, and related services. Please read them — they define what you can expect from us and what we expect from you.
§1 Accepting these terms
By creating an apiegg account, using an API key, or otherwise using the service, you agree to these Terms. If you use apiegg on behalf of a company or other organization, you confirm you have the authority to bind that organization to these Terms — in that case, “you” means your organization.
If you don’t agree with any part of these Terms, don’t use the service.
§2 What apiegg is
apiegg is a server-side routing service for AI model API requests. You point your software (agents, SDKs, scripts) at our endpoint, and we:
- Analyze each request — its shape, size, tool usage, and other signals needed to choose a good route;
- Route it to a best-fit model from our network of third-party model providers;
- Translate formats where needed (the service speaks both OpenAI-compatible and Anthropic-compatible API formats);
- Validate and auto-heal tool-call responses so malformed payloads don’t crash your agents;
- Learn from anonymized outcome signals to improve routing quality over time.
Think of us as an intelligent intermediary: you buy routed access to model capacity from us, and we buy and manage the underlying capacity from our provider network. We provide the routing layer — not the models themselves.
§3 Accounts & API keys
To use the API you need an account and at least one API key. Keys are your credentials.
- Keep your keys secret. Don’t embed them in public repositories, client-side code, or shared documents.
- You are responsible for all activity carried out with your keys, including usage fees, until you revoke them.
- Rotate and revoke keys regularly through your dashboard, and immediately if you suspect a key has leaked.
- Keep your account info accurate and current.
If a key is compromised, contact us at once — we will deactivate it. Usage before you notify us remains your responsibility.
§4 Acceptable use
You may use apiegg only for lawful purposes. Specifically, you must not:
- Process illegal content or content that infringes the rights of others, or use the service in violation of applicable law;
- Violate the acceptable-use policies of our upstream model providers — their rules apply to your traffic because your requests are ultimately processed by them;
- Abuse the service or our providers — including attempts to overload endpoints, bypass or evade rate limits, reverse-engineer the routing engine, or probe the provider network;
- Resell raw access to the service to third parties (for example, exposing our endpoint as your own public API) without our prior written consent;
- Interfere with other customers or misrepresent your identity to us.
Rate limits and fair-use thresholds apply and may change as the service scales. We may throttle, queue, or suspend traffic that abuses resources. For serious or repeated violations we may terminate your account (see §10).
§5 Third-party model providers
Routing means your requests are processed by third-party AI model providers in our network. A few honest consequences of that:
- Model outputs are generated by the models, not by us. They can be inaccurate, incomplete, or unsuitable for your purpose. Verify outputs before relying on them; don’t use the service for decisions that require certified accuracy.
- Provider terms may apply. In addition to these Terms, the terms and acceptable-use policies of the underlying providers may govern how their models and your requests to them may be used.
- Availability depends on providers. Outages, deprecations, or changes at a provider can affect the service. We route around problems where we can, but we can’t guarantee any specific model’s availability.
You own the outputs you receive (see §7), and you’re responsible for how you use them.
§6 Fees & billing ⚖ pricing TBD
apiegg is usage-based: you pay for what your traffic consumes through the router.
- Early access is free during the pilot period; founding-user pricing will be published at launch.
- Full pricing, invoicing, payment methods, and refund conditions will be described at apiegg.com/docs before paid plans activate. [Placeholder — pricing terms to be finalized.]
- Usage estimates and cost dashboards are informational, not binding quotes.
- Late payment or chargebacks may result in suspension of service until resolved.
§7 Who owns what
You own your content. Your prompts, context, files, and the outputs you receive through the service belong to you. We claim no ownership over them.
We own the service. The routing engine, its logic, our software, infrastructure, brand, and these Terms’ text are and remain our intellectual property. Nothing in these Terms transfers any of it to you, except the limited right to use the service as intended.
To route your requests, we need to process them transiently — that’s the service working as designed, not a license grab. The narrow technical processing needed to analyze, route, and return your requests is covered by these Terms and our Privacy Policy.
§8 Warranty disclaimer
The service is provided “as is” and “as available,” without warranties of any kind, express or implied — including fitness for a particular purpose, merchantability, accuracy, or non-infringement.
We don’t promise the service will be uninterrupted, timely, secure, or error-free, and we don’t warrant the quality or correctness of any model output. Model-generated content may be wrong. You use the service and its outputs at your own risk.
§9 Limitation of liability ⚖ cap TBD
To the maximum extent permitted by law, apiegg and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, business interruption, or costs of substitute services — arising from or related to your use of the service.
Our total aggregate liability for all claims arising out of or relating to the service is limited to the amount you paid us in the twelve (12) months preceding the claim. [Placeholder — confirm the cap and any required local-law adjustments with counsel.]
Some jurisdictions do not allow certain limitations; in that case, these limits apply to the fullest extent permitted.
§10 Termination
You can stop any time. Delete your keys or close your account from the dashboard; no lock-in.
We can suspend or terminate accounts that breach these Terms, create risk or legal exposure for us or our providers, or remain inactive for an extended period. Where practical, we’ll give notice and a chance to fix the issue first.
When an account ends, API keys are deactivated. Sections that by their nature should survive termination — including §7 (ownership), §8 (warranty), §9 (liability), and §12 (governing law) — survive.
§11 Changes to these terms
We may update these Terms as the service evolves. For material changes we’ll notify you in advance — by email, in-product notice, or changelog — before the new version takes effect. The effective date at the top of this page always shows the current version.
If you keep using the service after a change takes effect, you accept the updated Terms. If you disagree with a change, you can stop using the service at any time.
§12 Governing law ⚖ confirm jurisdiction
These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict-of-law rules. Any disputes arising from these Terms or the service will be resolved in the courts of [city/venue — placeholder, pending entity setup], unless applicable law provides otherwise. [Placeholder — confirm the legal entity, jurisdiction, and dispute-resolution venue with counsel.]
